END-USER LICENSE AGREEMENT [EULA]
IMPORTANT-READ CAREFULLY: This End-User License Agreement ("EULA") is a legal agreement between you (either an individual or a single entity) and the author for the Software identified above. YOU AGREE TO BE BOUND BY THE TERMS OF THIS EULA BY INSTALLING, COPYING, OR OTHERWISE USING THE SOFTWARE. IF YOU DO NOT AGREE, DO NOT INSTALL OR USE THE SOFTWARE.
BY ADOPTING ANY MEASURE TO DOWNLOAD, INSTALL OR USE ALL OR ANY COMPONENT OF THE "STREETWIZE CLASSROOM" SOFTWARE (INCLUDING BUT NOT LIMITED TO THE SOFTWARE, FILES, ADD-ONS, USER-GENERATED CONTENT OR DOWNLOADABLES AND DOCUMENTATION (“SOFTWARE”) OR USING STREETWIZE CLASSROOM'S SERVICES IN CONNECTION WITH THE SOFTWARE, INCLUDING BUT NOT LIMITED TO: (I.) ACCESS TO RESOURCES; AND (II.) ACCESS TO PERSONALIZED CONTENTS THROUGH STREETWIZE CLASSROOM'S NETWORK AND/OR OTHER NETWORKS OPERATED BY STREETWIZE CLASSROOM ("SERVICES"). YOU (HEREINAFTER REFERRED TO AS “LICENSEE”, “USER”, “YOU”) ACCEPT AND AGREE TO BE BOUND BY ALL THE TERMS AND CONDITIONS OF THIS EULA IF YOU ACQUIRE THIS SOFTWARE FOR USE, YOU REPRESENT THAT YOU ARE AN AUTHORIZED REPRESENTATIVE WHO HAS THE AUTHORITY TO LEGALLY BIND YOUR COMPANY TO THIS EULA. IF LICENSEE DOES NOT AGREE TO THIS EULA, LICENSEE MAY NOT USE THIS APLICATION AND MUST IMMEDIATELY REMOVE THE SOFTWARE FROM THE LICENSEE'S MOBILE DEVICE, MOBILE COMMUNICATION TERMINAL OR COMPUTER.
ACCORDINGLY, YOU AND STREETWIZE CLASSROOM AGREE TO THE FOLLOWING:
The "Software" consists of: (a) the StreetWize Classroom education and childcare simulator, social media and digital payments mobile Software, provided in connection with an authorized link to this Agreement, including all Software, code, text, graphics, logos, layouts, designs, interfaces, and other items included in or associated with the Software; and (b) any files that are delivered to you by StreetWize Classroom (via online transmission, through a third party distributor, or otherwise) to patch, update, or otherwise modify the StreetWize Classroom mobile Software.
StreetWize Classroom is as education and childcare software that facilitates a globalized learning society with innovative technology powered by communication. The Software may provide a means to learning, skill development, use other Software’s, or other products and services offered by StreetWize Classroom, and documents, audio and video materials, photographs, text, graphics, logos, layouts, designs, interfaces, Software, data and other content associated with the Services ("Content"). The Software, Services and Content are copyrighted works of StreetWize Classroom and may contain trademarks, service marks, trade names, and other intellectual property of StreetWize Classroom.
By clicking on the "Yes" or “Install” button, or by downloading or using the Software in any way, you confirm your agreement to this EULA. If you do not agree to the terms of this EULA, please click the "No" or “Exit” button and do not use the Software.
If you are a minor (which will depend on your country of residence), please ask your parent or guardian to review and approve this EULA on your behalf (because legally minors cannot enter into agreements like this EULA).
1.0 UPDATES TO THIS EULA
This Agreement applies to all downloading or installation of the Software after the Effective Date below, and use of any copy of the Software downloaded or installed after the Effective Date above. This EULA may be updated by Tal Iron - 8 Zikhron Ya'akov St., Tel Aviv 6299908, Israel (hereinafter referred to as "StreetWize Classroom") from time to time. Once this EULA is updated or amended, StreetWize Classroom will release the updated terms of the EULA in the Software or on StreetWize Classrooms’ web page at http://www.streetwizevr.com/. Once the updated terms of the EULA are released, the updated terms will effectively substitute the original terms of the EULA. The Licensee may use the Software or website to review the latest version of the terms of this EULA at any time.
2.0 CHANGES TO SOFTWARE AND SERVICE OFFERINGS
StreetWize Classroom or the Distribution Channel may change pricing for the Software, Services and Content. We may not provide price protection or refunds due to price reductions, promotional pricing, or any other changes to pricing for any reason.
You acknowledge and agree that StreetWize Classroom may suspend or discontinue offering the Software; modify the Software; change or discontinue the Services available through the Software; change how we offer and operate such Services (e.g., to begin charging a fee to access features or Content that we previously made available without charge); remove Content; impose limits on certain features or restrict your access to part or all of the Software, Services and Content; or make other changes in StreetWize Classroom s' product and service offerings at its sole discretion and with or without notice to you. We will not be liable to you or any third party for taking any of these actions and we will not be limited to the remedies above if you violate these Terms. You further acknowledge and agree that even if a copy of the Software continues to reside on your device, after we make changes in our product or services offerings, the Software may not work as it did prior to such action, and StreetWize Classroom will have no liability to you or any third party as a result.
3.0 LICENCE OF THE SOFTWARE
We offer you the individual right (known as a 'license') to download, install (and enjoy!) the Software for your personal use. We can terminate this license in certain circumstances, which are explained further below. This license is 'non-exclusive', meaning that we can grant similar licenses to other people as well. Subject to your compliance with the StreetWize Classroom Terms, StreetWize Classroom hereby grants, and you hereby accept, a limited, personal, non-exclusive, non-transferable, license to:
(a) install the Software on one mobile device owned by you or under your legitimate control; and
(b) engage in non-commercial but personal use of the Software.
All rights to use the Software are granted on the condition that such rights are forfeited if you fail to comply with the terms of this Agreement.
You may not transfer or sub-license this license in any way to anyone else unless we first agree to it in writing.
The license applies to versions of the Software that are offered on any certified Operating System and integrated in any compatible devices. StreetWize Classroom will not cover issues with problems on uncertified devices.
Note: Your use of some third party materials included in the Software may be subject to other terms and conditions typically found in a separate license agreement located near such materials. Except as expressly stated herein, this EULA does not grant
Licensee any intellectual property rights in the Software and all rights not expressly granted are reserved by StreetWize Classroom.
4.0 USE OF THE SOFTWARE
The Software is an education and childcare, social and digital payments wallet Software that allows you as a user to develop life skills, parenting skills, child development, and hands-on learning experiences for students of different levels. As part of the Software, you may receive push notifications or other types of messages directly sent to you outside or inside the Software (collectively, "Push Messages"). You may control the Push Messages in your device's or the Software's settings. Some of the Push Messages may be related to your location or to your use of the Software or Content. Your carrier may charge standard messaging, data and other fees for use of Push Messages, and these fees may appear on your mobile bill or be deducted from your pre-paid balance. Your carrier may prohibit or restrict certain Push Messages and certain Push Messages may be incompatible with your carrier or mobile device. Contact your carrier with questions regarding these issues. You may discontinue Push Messages in your device's or the Software's settings or by deleting the Software. We may collect information related to your use of Push Messages.
The Software is designed to enable users to leave reviews and comments on other users and therefore the review data becomes public whereby other users can view the review made by that particular user.
The Software may allow you to access and interoperate with third party properties, Software, and data services (collectively, "Third Party Properties") like Facebook and other social media. StreetWize Classroom does not control any Third Party Properties to which you may connect using the Software and is not responsible for the practices of any third party. You acknowledge and agree that StreetWize Classroom is not liable for any loss or damage which may be incurred by you as a result of any reliance placed by you on the completeness, accuracy, or existence of any advertising, products, or other materials on or available from Third Party Properties. You acknowledge that the Software may check for updates to the Software that may be available to you.
It is your obligation to ensure that you are using the latest compatible public release of any platform operating system. You require an internet connection, which you must procure at your own expense, to use the Online Service of StreetWize Classroom; also a user account needs to be set up.
To set up a StreetWize Classroom account you will need to complete the registration process and choose a username and password. When using StreetWize Classroom, you must comply with the provisions of our Terms, which can be found at http://www.streetwizevr.com/terms-of-use
The username and password chosen by and issued to you upon registration with StreetWize Classroom is personal to you and shall not be disclosed to any third party without our prior written consent.
You agree, accept and understand that:
(a) you will ensure information held about you by us is accurate and up to date and that you can amend your registration details at any time through StreetWize Classroom;
(b) you are and shall remain responsible for maintaining the confidentiality of your account credentials;
(c) you are solely liable for any use of StreetWize Classroom when logged into and using your account;
(d) whenever you make use of features that allow you to make posts on, or share or upload content to StreetWize Classroom or our social network sites, you acknowledge that you must comply with our code of conduct http://www.streetwizevr.com/terms-of-use;
(e) you will not make any excessive use of StreetWize Classroom which may, in our reasonable opinion, affect other users’ access to Dovetail Live; and
(f) your access to StreetWize Classroom may be time limited.
PLEASE DO NOT SHARE YOUR USERNAME OR PASSWORD WITH ANY OTHER PERSON OR ALLOW ANY OTHER PERSON TO USE YOUR ACCOUNT. WE WILL NOT BE HELD LIABLE FOR ANY IMPROPER USE OF YOUR ACCOUNT OR ANY USE OF YOUR ACCOUNT BY ANY THIRD PARTY. IF YOU THINK YOUR ACCOUNT HAS BEEN COMPROMISED PLEASE INFORM US IMMEDIATELY.
Please note that the Software is intended strictly for learning and leisure purposes only. It is not designed for, and must not be used, for any training or in any way as a realistic simulation. We accept no responsibility or liability for any failure by users to comply with this.
5.0 USER RESTRICTIONS
Without the prior written consent of StreetWize Classroom, the user may not:
(i) reproduce the Software in whole or in part;
(ii) sell, assign, sub-license, disclose, or otherwise transfer or make available the Software in whole or in part to any third party;
(iii) use the Software to provide services to third parties;
(iv) implement, use, sell, distribute, transfer or permit any third party to implement, use, sell, distribute or transfer the Software and all the intellectual property rights thereof for the purpose of profit making;
(v) copy, alter, amend, run by mount or create any derivative works based on the Software or any part or component thereof, data released to any mobile communication terminal’s internal memory by the Software and interactive data between client terminal and server’s terminal during the Software’s operation for the avoidance of doubt, the forms of such restricted acts include, but not limited to, the creation of plug-ins, add-on programs, outside hanging or any unauthorized third party’s tool/service accessing the Software and correlative systems);
(vi) remove, delete or alter any proprietary notices or marks (including without limitation the copyright statements) on the Software;
(vii) reengineer, de-compile, disassemble, alter, translate or reverse engineer the Software or any part or component there to applicable laws which permit such activities notwithstanding this contractual prohibition;
(viii) amend or destroy the original state of the Software;
(ix) use the Software to take any actions to threaten the security of the network, including but not limited to using data or entering server/account without permission; entering public networks or others’ operating systems and deleting, amending or adding the stored information without permission; attempting without permission to detect, scan or test the weakness of the Software system or the network or attempting without permission to conduct any other activities to damage the network security system; attempting without permission to intervene with or affect the normal operation of the Software or the website; intentionally spreading malicious programs or viruses, and taking other actions to damage or intervene with the normal information service of the network; forging part or all of the titles of TCP/IP packets;
(x) log in or use the Software and Services of StreetWize Classroom by means of a third party’s compatible Software or system not developed, authorized or approved by StreetWize Classroom ; as to the Software and Services of StreetWize Classroom , the Licensee uses the plug-ins and outside hanging not developed, authorized or approved by StreetWize Classroom ;
(xi) use the Software without the prior written consent of StreetWize Classroom to use, lease, lend, copy, revise, link to, cite, compile, issue or publish the information related to the Software, or to build mirror websites of said information or to develop related derivative products, works, services, plug-ins, outside hanging, compatibility or interconnection without authorization;
(xii) use the Software to publish, deliver, transmit or store any content that contravenes the laws of any country, or threatens the national security, social stability, public order and morals of any country, or to publish, deliver, transmit or store any content that is inappropriate, insulting, defamatory, obscene, violent and against the laws, regulations and policies of any country;
(xiii) use the Software to publish, deliver, transmit or store content that infringes other's intellectual property rights, trade secrets or other legal rights;
(xiv) use the Software, to issue, deliver or transmit bulk advertisements, unsolicited communications, spam and junk information;
(xv) use the Software to deliver, transmit or otherwise accomplish the transmission of the files including pictures, photos, Software or other materials, which are under the protection of intellectual property laws, such as (but not limited to), copyright or trademark laws (or right of privacy or right to publicize), unless the Licensee owns or controls the related rights or have obtained the necessary authorization;
(xvi) use the Software to use any material or information that contains pictures or photos which have been acquired by infringing existing trademark, copyright, patent, trade secrets or other exclusive rights of other third parties;
(xvii) use the Software to amend or forge the instruction, data and data packet in the running of Software works, add, delete, decrease or change the functions or running effects of Software, spread the Software for the foresaid purposes to the public through information network, or operate them;
(xviii) use the Software to apply the Software and Services offered by StreetWize Classroom to the running of equipment putting humans and their belongings in danger. The Licensee understands that the Software and Services offered by StreetWize Classroom are not designed for the above purposes and to the maximum extent as permitted by applicable law, StreetWize Classroom will not bear any liability or be responsible for the personal injury or death, grave losses of belongings and destruction of environment due to the above unsuccessful operations arising from the Software and Services;
(xix) sell, lease, lend, spread, transfer or sub-license the Software and/or Services or gain profits from using the Software and/or Services regardless of whether the above acts were committed for the purpose of achieving direct economic or money earnings;
(xx) use the Software and other Services offered by StreetWize Classroom in any other illegal manner, for any illegal purpose or in any form inconsistent with this EULA.
6.0 TECHNICAL REQUIREMENTS
By using the Software you agree that you have the necessary hardware, software and capability required for its use. We accept no responsibility or liability for any failure of your system to meet the technical requirements of the Software as amended or updated from time to time.
The Software may allow you and other users of the Software to send communications to us or third parties or contribute content of your own for use in the Software or otherwise by us or third parties (each a “Contribution”). For the avoidance of doubt, this clause refers to the Simulator Service owned and operated by us. We give no warranty in connection with any online service owned and operated by third parties, including but not limited to any and all contributions derived from a third party online service that are made available on the Software and our Online Service.
8.0 TERMINATION OF LICENSE
Notwithstanding anything contrary to this EULA and to the maximum extent as permitted by law, StreetWize Classroom shall have the right to terminate this EULA on thirty (30) days written notice to the Licensee without giving reasons for such termination and without incurring penalties of any nature whatsoever.
If the Licensee breaches any of the stipulations in this EULA, in above, StreetWize Classroom may, at its sole and absolute discretion, immediately terminate, suspend in part or in whole, or restrict the Licensee’s right to use of the Software without notice.
The StreetWize Classroom is protected by copyright laws and international copyright treaties, as well as other intellectual property laws and treaties.
All title and intellectual property rights in and to the StreetWize Classroom (including but not limited to any software, images, photographs, animations, graphics, 3D graphics, video, audio, music, text, tutorials, and “applets” incorporated into the StreetWize Classroom), the accompanying printed materials, and any copies of the StreetWize Classroom are owned by Licensor. All rights not expressly granted are reserved by Licensor.
10.0 WARRANTY DISCLAIMER
STREETWIZE CLASSROOM DOES NOT WARRANT: (1) THAT THE SOFTWARE'S FUNCTIONS OR ANY SERVICES OR CONTENT WILL BE UNINTERRUPTED OR FREE OF ERRORS OR OMISSIONS; (2) THAT DEFECTS WILL BE CORRECTED; (3) THAT THE SOFTWARE OR THE SERVERS HOSTING CONTENT ARE FREE OF VIRUSES OR OTHER HARMFUL CODE; OR (4) THAT THE SOFTWARE OR SERVICES OR CONTENT AVAILABLE THROUGH THE SOFTWARE WILL CONTINUE TO BE AVAILABLE. STREETWIZE CLASSROOM SHALL HAVE NO LIABILITY FOR ANY SUCH ISSUES. STREETWIZE CLASSROOM AND THE DISTRIBUTION CHANNEL DISCLAIM ANY EXPRESS OR IMPLIED WARRANTIES, INCLUDING, WITHOUT LIMITATION, NONINFRINGEMENT, MERCHANTABILITY, AND FITNESS FOR A PARTICULAR PURPOSE, TITLE, QUALITY, AVAILABILITY AND AS TO SUBJECT MATTER OF CONTENT. THE SOFTWARE, SERVICES AND CONTENT ARE PROVIDED "AS IS," "AS AVAILABLE" AND "WITH ALL FAULTS".
YOUR ACCESS TO AND USE OF THE SOFTWARE IS AT YOUR RISK. IF YOU ARE DISSATISFIED WITH THE SOFTWARE OR ANY OF THE SERVICES OR CONTENT AVAILABLE THROUGH THE SOFTWARE, YOUR SOLE AND EXCLUSIVE REMEDY IS TO DISCONTINUE ACCESSING AND USING THE SOFTWARE.
The Distribution Channel will not be responsible for addressing any claims by you or any third party relating to the Software or your possession and/or use of the Software, including: (i) product liability claims; (ii) any claim that the Software fails to conform to any applicable legal or regulatory requirement; and (iii) claims arising under consumer protection or similar legislation. If you have any questions on those issues, you should contact us at the address below. The Distribution Channel will also not be responsible for investigation, defense, settlement and discharge of any third party intellectual property infringement claim.
11.0 LIMITATION OF LIABILITY/RELEASE OF CLAIMS
STREETWIZE CLASSROOM WILL NOT BE LIABLE FOR ANY FAILURE OR DELAY IN THEIR PERFORMANCE DUE TO ANY CAUSE BEYOND THEIR REASONABLE CONTROL, INCLUDING ACTS OF WAR, ACTS OF GOD, ACTS OF THIRD PARTY SERVICE PROVIDERS, EARTHQUAKE, FLOOD, EMBARGO, RIOT, SABOTAGE, LABOR SHORTAGE OR DISPUTE, GOVERNMENTAL ACT, POWER FAILURE OR FAILURE OF THE INTERNET OR COMPUTER EQUIPMENT.
STREETWIZE CLASSROOM WILL NOT BE LIABLE TO YOU OR ANYONE ELSE FOR ANY SPECIAL, INDIRECT, INCIDENTAL, EXEMPLARY, PUNITIVE OR CONSEQUENTIAL DAMAGES IN CONNECTION WITH THE SOFTWARE (INCLUDING THE SERVICES AND CONTENT AVAILABLE THROUGH THE SOFTWARE) OR THIS AGREEMENT, EVEN IF FORESEEABLE OR EVEN IF STREETWIZE CLASSROOM HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES (INCLUDING, WITHOUT LIMITATION, WHETHER CAUSED IN WHOLE OR IN PART BY NEGLIGENCE, GROSS NEGLIGENCE, OR OTHERWISE, BUT EXCLUDING WILLFUL MISCONDUCT). IN NO EVENT WILL STREETWIZE CLASSROOMS ' LIABILITY FOR OTHER DAMAGES EXCEED THE AMOUNT PAID BY YOU TO ACQUIRE THE SOFTWARE. THE FOREGOING LIMITATIONS WILL APPLY EVEN IF ANY STATED REMEDY FAILS OF ITS ESSENTIAL PURPOSE.
YOU ACKNOWLEDGE AND AGREE THAT IF YOU INCUR ANY DAMAGES THAT ARISE OUT OF STREETWIZE CLASSROOMS' ACTS OR OMISSIONS, THE DAMAGES, IF ANY, ARE NOT IRREPARABLE AND ARE NOT SUFFICIENT TO ENTITLE YOU TO AN INJUNCTION OR OTHER EQUITABLE RELIEF RESTRICTING EXPLOITATION OF ANY WEBSITE, PROPERTY, PRODUCT, PROGRAM, TELEVISION SHOW, DOCUMENTARY, OR OTHER AUDIO/VISUAL CONTENT OWNED, CONTROLLED, OR DISTRIBUTED BY STREETWIZE CLASSROOM, INCLUDING WITHOUT LIMITATION THE SOFTWARE.
SOME JURISDICTIONS DO NOT ALLOW LIMITATIONS ON IMPLIED WARRANTIES OR THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO SOME OF THE ABOVE LIMITATIONS AND EXCLUSIONS MAY NOT APPLY TO YOU.
You will indemnify, defend, and hold StreetWize Classroom and all of its officers, directors, owners, employees, agents, information providers, service providers, vendors, contractors, affiliates, partners, and licensors (collectively, the "StreetWize Classroom Parties") harmless from and against any and all liability, losses, costs, and expenses (including attorneys' fees) incurred by any of the StreetWize Classroom Parties in connection with any claim,
including, but not limited to, claims for defamation, violation of rights of publicity or privacy, copyright infringement, or trademark infringement arising out of: your use of the Software; any use or alleged use of your account or your passwords by any person, whether or not authorized by you; your connection to StreetWize Classroom ' or its vendors' servers; your violation of this Agreement; or your violation of the rights of any other person or entity. StreetWize Classroom reserves the right, at its own expense, to assume the exclusive defense and control of any matter for which you are required to indemnify StreetWize Classroom and you will cooperate with StreetWize Classrooms' defense of these claims.
During the term of this Agreement and for a period of one year thereafter, StreetWize Classroom may, during normal business hours and upon reasonable prior notice to End User, inspect the files, mobile processors, equipment and facilities of End User to verify End User's compliance with this EULA
14.0 EXPORT CONTROLS.
You will not ship, transfer, or export the Software into any country or use the Software in any manner prohibited by the U.S Export Administration Act or any other export laws, restrictions, or regulations (collectively, "Export Laws"). You represent and warrant that you are not a citizen of, and are not located within, a country that is subject to Israeli Government embargo or that has been designated by the Israeli Government as a "terrorist supporting" country, and that you are not otherwise prohibited under the Export Laws from receiving the Software.
15.0 GOVERNING LAW, VENUE, AND JURISDICTION.
This Agreement and all claims arising from or related to your use of the Software will be governed by and construed in accordance with the laws of Israel. This Agreement and the Software will not be governed by the United Nations Convention on Contracts for the International Sale of Goods, if applicable.
With respect to any disputes or claims not subject to arbitration (as set forth below), you agree to exclusive jurisdiction in the state and federal courts in Tel Aviv - Israel. Notwithstanding any other provision of this Agreement, we may seek injunctive or other equitable relief from any court of competent jurisdiction.
Regardless of any statute or law to the contrary, you must file any claim or action related to use of the Software or this Agreement
within one year after such claim or action accrued. Otherwise, you will waive the claim or action.
16.0 DISPUTES; ARBITRATION
If you have any dispute with or claim against us or any of our affiliates (a "Claim") arising out of or relating to the Software or this Agreement, and the claim is not resolved by mailing our customer service department email@example.com, you and we each agree to resolve such disputes through an individual binding arbitration or an individual action in small claims court. Class arbitrations and class actions are not permitted, and your Claim may not be consolidated with any other person's claim. You and we agree that the Israeli Federal Arbitration Act governs the interpretation and enforcement of this provision, and that you and we are each waiving the right to a trial by jury or to participate in a class action. This Section shall survive termination of this Agreement or any subscription that you may have to receive Content.
Before you commence arbitration or file a small claims court action with respect to your Claim, you must first send to StreetWize Classroom a written notice of your claim ("Notice"). The Notice must:
(1) be sent by certified mail;
(2) be addressed to:

(3) describe the nature of your Claim; and
(4) specify the damages or other relief you seek.
If we and you do not then resolve the Claim within 30 days after our receipt of your Notice is received, either you or we may commence arbitration or file a small claims court action to resolve the Claim.
17.0 FORCE MAJEURE
We will not be liable for any failure by us to perform any obligation under this EULA if that failure is caused by the happening of any unforeseen event beyond our reasonable control including without limitation: Internet outages, Power fluctuation/outages, communications outages, fire, flood, war or act of God.
Note: this provision means that if unforeseen events beyond our control happen, then we won't be liable to you if we are unable to perform any part of this EULA, e.g. to make the Software available to you).
Licensee may not assign this EULA, and any attempted assignment will be null and void.
This Agreement constitutes the entire agreement between the parties with respect to its subject matter and supersedes any prior oral or written agreements, provided, however, that this Agreement will coexist with the StreetWize Classroom Terms and any Additional Terms. To the extent that the provisions of this Agreement conflict with the StreetWize Classroom Terms, this Agreement will govern. We may be required by state or federal law to notify you of certain events. You hereby acknowledge and agree that such notices will be effective upon our posting them on our sites or delivering them to you via email, if you have provided it to us. If you do not provide us with accurate information or we do not have access to your email address, we will not be responsible for failure to notify you. If any part of this Agreement is determined to be invalid or unenforceable under applicable law, that provision will be removed and the remainder of the Agreement will continue to be valid and enforceable except as expressly stated. Our failure to exercise or enforce any right or provision in this Agreement will not constitute a waiver of such right or provision. Except as otherwise required by law, the controlling language of this Agreement is English. This Agreement will be binding upon and will inure to the benefit of the parties, their successors and permitted assigns. You and we acknowledge and agree that the Distribution Channel and its subsidiaries are intended third party beneficiaries of this Agreement and will have the right (and will be deemed to have accepted the right) to enforce this Agreement against you.
